Terms of Service

1. Acceptance of Terms

By accessing and using Repacore ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Repacore is a SaaS platform that helps service businesses manage their Google Business Profile reviews. The Service includes:

• AI-powered review response generation
• Automated review request delivery via SMS
• Negative review alerts and monitoring
• Analytics and reporting dashboard
• API and webhook access for integrations

The Service is provided on an "as is" basis. araNET Solutions reserves the right to modify or discontinue the Service with 30 days' notice.

3. Account Responsibilities

You are responsible for:

• Maintaining accurate, current, and complete account information
• Protecting the confidentiality of your password
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access or use
• Complying with all laws and regulations in your jurisdiction

You must be at least 18 years old to use Repacore.

4. Payment Terms

Payment is processed via Stripe. The following terms apply:

• Free Trial: new accounts receive a 7-day free trial with full access to their chosen plan
• Auto-Renewal: after the trial ends, your subscription automatically renews monthly and you will be charged the monthly fee
• Billing Cycle: subscriptions renew on the same day each month
• Price Changes: we will notify you 30 days in advance of any price increases
• Failed Payments: if payment fails, we will attempt to retry for 5 days. If unsuccessful, your account will be suspended until payment is received

5. Cancellation

You may cancel your subscription anytime from your dashboard. Cancellation takes effect immediately. No refunds are issued for partial months, but you retain access to your data for 30 days after cancellation. After 30 days, your account and all associated data will be permanently deleted.

6. Acceptable Use

You agree not to use Repacore to:

• Engage in illegal activity or violate any laws or regulations
• Spam, harass, or abuse other users
• Send SMS or communications to customers without valid consent
• Impersonate another person or entity
• Attempt to gain unauthorized access to Repacore systems
• Reverse-engineer, decompile, or disassemble the Service
• Send malware, viruses, or malicious code
• Interfere with or disrupt the integrity or performance of the Service

Violation of these terms may result in immediate account suspension or termination.

7. Google API Terms

Repacore uses the Google Business Profile API to fetch and manage reviews. By using Repacore, you agree to comply with Google's Terms of Service and API policies. You are responsible for ensuring that your use of review data complies with Google's terms. araNET Solutions is not responsible for changes to Google's API or policies.

8. SMS Consent and Compliance

By using Repacore's SMS review request feature:

• You represent that you own or operate the business associated with your account
• You consent to send SMS to your customers and confirm you have obtained their consent
• You comply with all applicable SMS regulations (TCPA, GDPR, etc.)
• You warrant that phone numbers you provide belong to your customers
• You agree not to use Repacore to send SMS for marketing or promotional purposes unrelated to review requests

araNET Solutions is not liable for regulatory violations arising from your use of SMS features.

9. Intellectual Property Rights

Service Ownership: You acknowledge that Repacore, its design, and all underlying technology are owned by araNET Solutions and protected by copyright and intellectual property laws.

Your Data: You retain all ownership rights to your business data, customer data, and any content you upload. You grant araNET Solutions a license to use your data solely to provide the Service.

AI-Generated Responses: Review responses generated by our AI model are created for your use and ownership. You may edit, approve, or reject them before posting.

10. Limitation of Liability

To the fullest extent permitted by law:

• araNET Solutions is not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising out of or relating to this agreement shall not exceed the fees you paid in the 12 months preceding the claim
• We are not liable for lost profits, lost data, business interruption, or any other damages even if advised of the possibility

11. Service Availability and Uptime

We strive to maintain 99.9% uptime, but do not guarantee uninterrupted access. We may perform scheduled maintenance and emergency maintenance to keep the Service secure and functional. We will provide notice of planned downtime when possible. araNET Solutions is not liable for downtime, data loss, or service interruptions.

12. Termination

araNET Solutions may terminate your account immediately if:

• You violate these Terms of Service
• You engage in illegal activity
• You spam, harass, or abuse other users
• Your account poses a security or integrity risk to the Service

Upon termination, you lose access to the Service. If termination is due to your violation, no refund will be issued. If termination is initiated by araNET Solutions without cause, we will issue a prorated refund for the current billing period.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ARANET SOLUTIONS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR NEEDS OR THAT ERRORS WILL BE CORRECTED.

14. Governing Law

This agreement is governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Utah.

16. Severability

If any provision of this agreement is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.

17. Entire Agreement

This agreement constitutes the entire agreement between you and araNET Solutions regarding the use of the Service and supersedes all prior or contemporaneous communications, representations, or agreements.
